SPOT FREDDY CONTEST RULES & REGULATIONS

1. CONTEST PRIZES. 40 Original Freddy Chairs & Rockers will be awarded
through 4 quarterly drawings (10 per drawing).

2. CONTEST PERIOD. December 1, 2006 through December 31, 2007. 3.
ELIGIBILITY. To enter and be eligible to win an Original Freddy Rocker or
Chair you must be: a legal resident of the 50 United States, Washington,
D.C., or Canada, (excluding Quebec); have a valid e-mail address or if under
18 should have a parent or guardian with a valid email address; and have
access to a web browser that is compatible with Netscape 6.2 or higher, AOL
7.0 or higher, or Internet Explorer 5.5 or higher. You are not eligible if
you are an officer, director, employee or agent of Freddy & Friends,
LLC, or a member of the immediate family (defined as spouse, parent, child,
sibling or their respective spouses) or household, whether or not related,
of any of the above persons. Subject to all applicable federal, state,
provincial, and local laws and regulations. Void in Puerto Rico, Quebec and
where prohibited. Employees of the prize sponsors as well as their employees
and other representatives, its parent companies, subsidiaries, affiliates
and advertising and promotion agencies (and the immediate family members of
each of them and others living in the same household) are not eligible to
win prizes. All applicable federal, state and local laws and regulations of
the United States apply. Offer void where prohibited or otherwise restricted
by law. Sponsor will only accept entries that are completed and submitted in
the format designated below. HOW TO ENTER. Read the childrens book Once Upon
A Blue Moon by S.E. Blakeslee and carefully count how many instances Freddy
appears in the entire book. Make a note of the number then enter the contest
by going to www.freddyrocks.com/contest and complete the online entry form
with true and accurate information including the number of instances you
spotted Freddy. Contestants who identify the correct amount of Freddys will
be eligible for the 4 quarterly drawings. Contestants that are not chosen
will remain eligible until the final drawing on December 31, 2007. 3.CONTEST
DATES There will be four contest drawings. Review the following for
quarterly contest dates. The Winter Contest will begin at 12:00 a.m. Eastern
Time on Dec 1, 2006, and will end at 11:59 p.m. Eastern Time on March 30,
2007. The Spring Contest will begin at 12:00 a.m. Eastern Time on April 1,
2006, and will end at 11:59 p.m. Eastern Time on June 30, 2007. The Summer
Contest will begin at 12:00 a.m. Eastern Time on July 1, 2007, and will end
at 11:59 p.m. Eastern Time on September 30, 2007. The Fall Contest will
begin at 12:00 a.m. Eastern Time on October 1, 2007, and will end at 11:59
p.m. Eastern Time on December 31, 2007. Drawings for the four quarterly
contests will be held within one week of the closing of each contest date
and winners will be announced shortly thereafter.

4. DISCLAIMERS AND RELEASE OF LIABILITY. The prize committee of Freddy &
Friends LLC, and its parent companies, affiliates, subsidiaries, directors,
officers, employees, representatives and agents disclaims any and all
liability whatsoever for any claims, costs, injuries, losses, or damages of
any kind arising out of or in connection with the Spot Freddy Contest or
with the acceptance, possession or use of any prize (including, without
limitation, claims, costs, injuries and losses related to personal injuries,
death, damage to or destruction of property, rights of publicity or privacy,
defamation or portrayal in a false light). Except where prohibited by law,
by accepting a prize, the winner releases the prize committee of Freddy
& Friends and each of its parent companies, affiliates, subsidiaries,
directors, officers, employees, representatives and agents from any and all
such liability.

5. DRAWING and NOTIFICATION. Drawing: The prize winners will be determined
by a random drawing from all eligible entries to be held at Freddy &
Friends', office on or about one (1) business week after the expiration of
the eligibility period. Winners will be notified in a manner as defined
below and will have one (1) business week after Notification in which to
accept the prize and assert their full compliance with the contest rules and
regulations. If the notified winner fails to respond with acceptance of the
prize, compliance with the contest rules and regulations, or if the winner
fails to meet the contest eligibility requirements, the notified winner
shall forfeit his/her prize in full, and an alternate winner will be
selected in the manner as defined above.  Notification: The winner will be
notified via telephone and/or email (if applicable). If the winner cannot be
reached via telephone within five telephone call attempts or does not
respond to the email over the span of one (1) business week from time of
first contact, an alternate winner will be selected. For purposes of this
agreement, a voice message left on an answering machine or voice-mail box,
shall be deemed Notification. Neither the prize committee of Freddy &
Friends LLC, nor its parent companies, subsidiaries, affiliates, or
advertising or promotion agencies are responsible for any (i) lost, delayed
or corrupted data transmissions or other communication related errors with
relation to telephone, electronic, hardware, software, network, or Internet
malfunctions (ii) other errors, failures or malfunctions, resulting in late,
lost, or misdirected Notifications or (iii) any damage to an entrant's
system occasioned by receipt of the Notification. Eligible winners will
receive their prize within six (6) to eight (8) weeks of prize acceptance in
accordance with the Notification.

6. USE OF WINNER'S NAME, LIKENESS, ETC. Except where prohibited by law,
entry into the contest constitutes permission to use winners' name, likeness
and/or prize information, without limitation, for promotional purposes
without further permission or compensation. Except where prohibited by law,
as a further condition of being awarded any prize, winners may be required
to execute a release/consent to the use of their name, likeness and/or prize
information, without limitation, for promotional purposes without further
permission or compensation.

7. WINNERS LIST AND OFFICIAL RULES. The names and supplied photos of all
winners may be posted on the Spot Freddy Contest web site after eligibility
is confirmed. To obtain the name of a winner, send a request via e-mail to
info@freddyrocks.com.

8. MISCELLANEOUS. The contest and all accompanying materials are copyright
2006 by Freddy & Friends LLC, and will be governed, construed and
interpreted under the laws of the United States. Any action you or any third
party acting on your behalf bring to enforce these Official Rules, shall be
brought in either the state or federal courts located in Pitt County, North
Carolina, and you expressly consent to the jurisdiction of such courts. If
any provision of these Official Rules shall be unlawful, void, or for any
reason unenforceable, then that provision shall be deemed severable from
these Official Rules and shall not affect the validity and enforceability of
any remaining provisions. Entrants agree to be bound by these Official Rules
and by the decisions of Freddy & Friends LLC, which are final and
binding in all respects. To the maximum extent permitted by applicable law,
Freddy & Friends LLC reserve the right to change these Official Rules or
cancel or suspend the contest at any time, in its sole discretion. Entrants
who violate these Official Rules, tamper with the operation of the contest
or engage in any conduct that is detrimental or unfair to Freddy &
Friends LLC, the contest or any other entrant (in each case as determined in
Freddy
& Friend's sole discretion) are subject to disqualification from entry
into the contest. Freddy & Friends LLC reserve the right to prohibit
participation in the contest of persons whose eligibility is in question or
who have been disqualified or are otherwise ineligible to enter the contest.
Entries will not be returned and will become the exclusive property of
